ABSTRACT

This study was carried out to examine the relationship between corporate governance and organisational performance of Central Bank of Nigeria, Port Harcourt branch in Rivers State. Anchored on the agency, stewardship and stakeholder theories, the study adopted the survey research design as its approach. The population for the study was 58 directors and assistant directors of the Central Bank of Nigeria in Rivers State as obtained from the CBN Website. The population of 58 was adopted as the sample size. Data were obtained from primary source. Ten hypotheses were raised, analyzed and tested statistically using the spearman rank order correlation coefficient and partial correlation analytical tool. The results of the analysis showed statistically significant and positive effects of the independent variables (shareholders’ role, board independence, and disclosure and transparency) on organizational performance measures (innovativeness, proactiveness and risk-taking) of CBN in Rivers State. Based on the findings, it was recommended that the CBN implement leadership development programmes that equip CBN leaders with the skills and knowledge to champion sound governance practices. This includes effective communication, ethical decision-making, and fostering a culture of collaboration. Develop a comprehensive performance measurement framework that goes beyond traditional financial metrics and consider incorporating measures like financial stability indicators, effectiveness of policy implementation, and public trust in the CBN.
